The mail forwarding service may be provided to active companies for which Easy Corp Ltd acts or not as the registered agent. The provision of the mail forwarding service will be ceased immediately if the company loses its status of good standing.
If Easy Corp Ltd is not acting as the registered agent for the company then the client will have to provide us with a certificate of good standing every year.
Easy Corp Ltd may cease the mail forwarding service upon giving seven days notice without stating any particular reason. In such event Easy Corp Ltd will refund the respective part of the service fees and costs deposits on a pro rated basis.
By ordering the mail forwarding services, the client guarantees and confirms that this service will not be used in any unlawful activity or for any unlawful or unethical purpose.
Unless expressly stated otherwise, the general terms and conditions for business with Easy Corp Ltd applies to the provision of the mail forwarding service.
Mail and fax forwarding service
All mail or fax correspondence addressed to the company will be forwarded to the address provided by the client. All mail correspondence will be forwarded weekly unless agreed otherwise. All fax correspondence will be converted to pdf files and forwarded by email within two business days from the day of receipt or forwarded by fax.
As a matter of exception we may open mail correspondence for purposes of security, due diligence or proper identification of the correct recipient.
The service fee for mail forwarding service is USD $300 per calendar year. The agreement will be renewed automatically every year. The minimum term of the mail forwarding service is twelve months payable in full and in advance when the agreement starts.
In addition to the service fee, handling charges will apply to each outgoing unit of correspondence (letter or package) at the rate of twice the actual postage costs. Handling charge for faxes is USD $2 per page.
The handling charges and postal costs will be charged weekly against the client's debit or credit card held on file. A valid credit card and an authorization signed by the client to debit the card for all postal costs and handling charges will be requested when the agreement starts.
Easy Corp Ltd will start to forward the mail to the client only when a valid credit or debit card and a signed authorization is recorded in the client's file.
If the debit or credit card becomes expired or is not anymore valid for any reason Easy Corp Ltd will stop to forward the mail to the client until a new valid debit or credit card is provided to us with a new credit card authorization. If the client does not provide Easy Corp Ltd with a new debit or credit card within ten working days then all mail will be held for seven days and destroyed thereafter and Easy Corp Ltd will terminate the mail forwarding service.
If a banking service is associated with the mail forwarding service then the account will be immediately closed following the termination of the mail forwarding service. A cashier check will be sent to the address provided by the client and held on file with the remaining balance of the checking account at the closure's date.
A retainer of USD $200 ($300 for BizFilings' clients) is requested at the beginning of the mail forwarding agreement. This retainer is kept in a separate account during the length of the agreement and cannot be used for any handling charges or postal costs. This retainer is given back to the client at the end of the agreement if there is no existing outstanding invoice to be paid or any remaining charge due. The retainer is sent by check within 30 days after the balance is closed by our billing manager. The check is sent to the last address held on file and is made payable to the name of the entity for which the service has been setup.
For mail forwarding service provided at our locations in Delaware and Florida, the client will be requested to provide Easy Corp Ltd with a signed USPS form 1583 and two forms of identification to satisfy Federal Postal Regulations. Easy Corp Ltd will provide a blank form 1583 to the client and assist the client to fill it properly. Easy Corp Ltd will only start to accept mail on behalf of the client when the signed form 1583 and two forms of identification are recorded on file.
Only correspondence that can be clearly identified as addressed to the company will be forwarded. Easy Corp Ltd is not responsible for any loss or misplacement of correspondence due to incorrect or ambiguous addressing on such correspondence. Easy Corp Ltd will not make any inquiries in regards of such correspondence. All correspondence that cannot be clearly attributed to an active client will be held for seven days and destroyed thereafter.
Remailing service
This service enables the client to distribute documents, like invoices or commercial offerings, through Easy Corp Ltd's offices. Such documents shall be sent to Easy Corp Ltd in electronic format (pdf only) with respective intended recipients and their postal addresses clearly indicated in the body of such documents. Unless agreed otherwise, Easy Corp Ltd will not provide signatures on any such documents.
Documents will be printed "as is" and mailed as indicated. Easy Corp Ltd will not distribute documents in pre sealed envelopes. In addition to the fixed annual service fee, handling charges will be applied to each outgoing unit of correspondence (letter or package) at the rate of twice the actual postage costs.
The service is provided for up to 10 outgoing units per month unless agreed otherwise.
Telephone and fax services
As an option, the client can request the setup of a local dedicated phone and/or fax line for an additional fee.
For the phone line, the client can select to have all calls directly forwarded to his local phone number or to have them forwarded to a voice mail. If forwarded to a local number, client will be charged call forwarding costs as per current price list. (See AT&T calling plans)
For the fax line, the client can select to have all faxes directly forwarded to his local fax number or to receive the faxes in a pdf format by email. If forwarded to a local number, client will be charged fax forwarding costs as per current price list. (See AT&T calling plans)
The telephone and fax numbers remain property of Easy Corp Ltd.
Our rights and responsibilities
Easy Corp Ltd may suspend by notice the provision of services for reasons of political unrest, strikes or other events beyond its reasonable control.
Easy Corp Ltd is not liable for any loss as a result of failure to provide a service as a result of mechanical or electronic breakdown, strike, delay, failure of staff, termination of its interest in the building containing the business centre or otherwise, unless it does so deliberately or are grossly negligent.
Easy Corp Ltd is also not liable for any failure until the client has informed Easy Corp Ltd and given a reasonable time to put it right.
The client agrees that Easy Corp Ltd will not have any liability for any loss, damage or claim which arises as a result of, or in connection with, this agreement and/or the use of the services except to the extent that such loss, damage, expense or claim is directly attributable to its deliberate act or its gross negligence.
Easy Corp Ltd will not in any circumstances have any liability for loss of business, loss of profits, loss of anticipated savings, loss of or damage to data, third party claims or any consequential loss. Easy Corp Ltd strongly advises the client to insure against all such potential loss, damage, expense or liability.
Unless there is an emergency, Easy Corp Ltd will as a matter of courtesy try to inform the client in advance when it needs to carry out testing, repair or works other than routine inspection, cleaning and maintenance that may alter the quality of the rendered services.
Easy Corp Ltd will use all reasonable endeavours to ensure accurate and expeditious handling of communications for the client but no responsibility shall attach to Easy Corp Ltd or its staff or agents for any injuries, damage or loss howsoever arising or to whomsoever caused.
Easy Corp Ltd shall have no liability to the client in respect of any act, omission, neglect, delay or default by any of the Easy Corp Ltd's staff or agents and whether in contract or in tort.
In the event of any parcel, packet or other object than mail addressed to the client being delivered at our premises, Easy Corp Ltd will bear no responsibility in the event of the client or the sender failing to remove the same within three days of receiving notice from Easy Corp Ltd of receipt of such item.
Easy Corp Ltd shall not accept any item which exceeds 1kg in weight or 30 centimetres in any dimension.
Easy Corp Ltd in its absolute discretion shall be entitled to (i) destroy any mail or messages not collected in accordance with these terms of business and (ii) refuse to accept any quantity of items which Easy Corp Ltd considers unreasonable.
Your rights and responsibilities
The client shall be entitled to receive the services subject to these terms and conditions.
The client must only carry on business in the name specified on the agreement.
The Easy Corp Ltd's brand, name and logo are registered trademarks of Easy Corp Ltd. The clients must not use the Easy Corp Ltd's logo, name, contact details, references and brand in any document or publication, including the internet and in any way in connection with his/her business, unless previously agreed in writing with Easy Corp Ltd.
The client must only use the Easy Corp Ltd's addresses for office purposes, and only for the business stated in the agreement or subsequently agreed with Easy Corp Ltd.
The client will not carry on any business which could be construed by Easy Corp Ltd as illegal, defamatory, immoral or obscene and will not use our addresses whether directly or indirectly for any such purpose.
The client must not carry on a business which competes with the Easy Corp Ltd's business.
If the client paid Easy Corp Ltd for establishing a mail forwarding service but not a registered agent service, the client may use the Easy Corp Ltd's address as being his business address but not as being the registered office of his business, unless previously agreed with Easy Corp Ltd, and in this case there will be a further charge as per current price list.
The client will fully indemnify Easy Corp Ltd against any expenses cost claims damages or penalties incurred by Easy Corp Ltd in connection with this agreement howsoever occasioned.
The client will not send or deliver or cause to be sent or delivered to the Easy Corp Ltd's locations any noxious harmful dangerous live perishable or bulky objects.
While the agreement is in force and for six months after it ends, the client must not solicit or offer employment to any of the Easy Corp Ltd's staff. If the client does so, Easy Corp Ltd estimates its loss at the equivalent of one year's salary for each of the employees concerned and the client must pay Easy Corp Ltd damages equal to that amount.
The client must supply copies of minimum two personal identification documents, to be chosen among passport, ID with photo, driving licence with photo, utility bill. Failure to present the required copies of these documents within 14 days from signing the agreement may result in the agreement being terminated and initial payment retained.
